Where Knowledge Becomes Confidence

- SOUND FAMILIAR ?

You advise on English law deals. But the system wasn't yours to begin with.

  • You're trained in civil law — but your clients' contracts, transactions, and disputes are governed by English law

  • You know the concepts, but you're not always sure how English courts would actually rule if things went wrong

  • You've seen deals where civil law assumptions led to real risk — a good faith clause that doesn't hold, an exclusion that doesn't work, a structure that doesn't protect

  • You want to give advice that's commercially sharp and legally precise — not hedged, not uncertain

  • You'd rather invest 5 days now than discover the gaps in the middle of a live transaction

- THE SHIFT

Where you are now → Where this programme takes you

Relying on civil law instincts for English law problems

Recognising exactly where those instincts fail — and what English law actually requires

Unsure whether a negotiation has already created binding obligations

Confident in identifying when and how contracts form under English law

Drafting limitation clauses that might not survive a dispute

Understanding what English courts enforce, what they reject, and why

Advising on deal structures without seeing the IP and liability traps

Spotting restructuring risks, asset transfer gaps, and IP ownership issues before they become problems

Uncertain about dispute strategy when English courts or arbitration are involved

Advising strategically on litigation, enforcement, disclosure, and settlement under English law

- THE PROGRAMME

Five days. Five layers of practice.

Each day builds on the last — foundations to strategy, with case-based practical work every day.

DAY 01 Legal Systems, Risk & Business Behaviour

You'll understand why English law produces fundamentally different legal and commercial outcomes — and where civil law assumptions

               most commonly go wrong.

DAY 02 Contract Formation, Negotiations & Enforceability

You'll know exactly when business discussions become binding, how consideration works in practice, and why "good faith" doesn't

mean  what civil law lawyers expect.

DAY 03 Contract Risk, Remedies & Dispute Exposure

You'll be able to assess how English courts read contracts, what exclusion clauses actually survive, and how remedy risk should shape the

               way you draft deals.

DAY 04 Corporate Transactions, Restructuring & IP

You'll see how English law treats share vs asset deals, contract transfers, and IP ownership — and why these affect valuation, risk, and

               post-transaction disputes.

DAY 05 Disputes, Enforcement & Strategic Legal Advice

You'll leave with a framework for managing disputes under English law — from jurisdiction and disclosure strategy to interim remedies

               and settlement.

- WHAT THE PAST DELEGATES SAY

Results that speak for themselves

"Within a week of the programme, I renegotiated a limitation clause in a cross-border supply contract. I would not have caught the issue before."

Senior Associate · International law firm, Dubai

"The programme gave me a practical framework I still use for every English law transaction. Elahe makes complex concepts genuinely clear."

Partner · Commercial law firm, Amman

"For the first time, I understood why English courts ruled the way they did — not just what the rule was. That changed how I advise clients entirely."

In-house Counsel · Multinational corporation, Riyadh

"I came expecting theory. I left with a restructured approach to how I handle dispute clauses and IP assignments. Immediately applicable."

Legal Director · Energy sector, Abu Dhabi

- YOUR PRESENTER

Elahe Ghazinoori — the person who built this programme around the gaps she saw lawyers actually face

Non-Practising Solicitor. Founder and Principal Presenter at EMG Associates. Over 20 years spent in professional legal training — not lecturing from textbooks, but working directly with civil law and common law lawyers on real transactions and disputes.

She's watched smart, experienced lawyers get tripped up by English law assumptions they didn't know they were making. This programme exists because those gaps are predictable — and fixable.

- COMMON QUESTIONS

Before you decide

Who is this programme designed for?

Civil law trained lawyers who regularly encounter English law in their practice — whether in cross-border transactions, disputes, corporate restructurings, or contract negotiations. It's built for practising lawyers, in-house counsel, and legal advisors who want practical, applicable knowledge.

Do I need prior English law knowledge?

No. The programme is designed to be accessible to lawyers without formal English law training. Day 1 establishes the foundations, and each subsequent day builds on that systematically.

Is this lectures or practical work?

Both — but the emphasis is practical. Every day includes case-based exercises, transaction scenarios, and problem-solving designed to mirror real advisory situations you'll face in your work.

Will I receive a certificate?

Yes. EMG Associates is authorised by the SRA and Dubai GLAD to provide CPD. Participation counts towards your applicable CPD/CLPD requirements, subject to your professional body's rules.

What if I need to cancel?

Please contact us directly. We'll work with you on options, including transferring your place to a future cohort where possible.
