Private company acquisitions and sales require more than legal knowledge — they demand strategic structuring, risk assessment, and effective negotiation. This intensive five-day programme follows the complete lifecycle of a private transaction, from initial planning through completion and post-closing risk management.

The programme is highly practical and transaction-focused. Participants work through a continuous deal scenario across the five days, analysing risks, negotiating key clauses, and making strategic decisions at each stage.

              Focus:  Identifying and addressing transaction risks through effective due diligence.

DAY 03 The Sale and Purchase Agreement (SPA)

              Focus:  Allocating risk and negotiating key provisions in the SPA.

DAY 04 Completion and Post-Completion Matters

              Focus:  Managing completion mechanics and post-closing exposure.

DAY 05 Negotiation Strategy and Transaction Simulation

              Focus:  Applying structured negotiation strategies in a full contract simulation.

Before you decide

Do I need to be a lawyer to attend?

No. This programme is designed for anyone who works with legal documents in English — including lawyers, in-house counsel, legal translators, paralegals, and professionals in regulated industries who need Legal English for their work .

Do I need prior English law knowledge?

No. The programme is designed to be accessible to lawyers without formal English law training. Day 1 establishes the foundations, and each subsequent day builds on that systematically.

Is this lectures or practical work?

Both — but the emphasis is practical. Every day includes case-based exercises, transaction scenarios, and problem-solving designed to mirror real advisory situations you'll face in your work.

Will I receive a certificate?

Yes. EMG Associates is authorised by the SRA and Dubai GLAD to provide CPD. Participation counts towards your applicable CPD/CLPD requirements, subject to your professional body's rules.

What if I need to cancel?

Please contact us directly. We'll work with you on options, including transferring your place to a future cohort where possible.

What level of English is required?

Participants should have a good general English proficiency (approximately B2 / Upper Intermediate level or above).
